General Counsel search
Executive Search Firms finds General Counsel for U.S. companies, from a first in-house lawyer to the chief legal officer of a listed business. You get candidates whose legal practice fits your risk profile and who can advise the CEO and the board on business decisions.
The General Counsel role and its market
The General Counsel is the company's chief legal officer. The role reports to the CEO and often doubles as corporate secretary, preparing board materials, minutes and governance policies. Day to day the GC handles contracts, litigation strategy, employment matters, regulatory questions, M&A and the budget for outside counsel. At a public company securities law takes up much of the week: SEC filings, insider trading policies, proxy statements and disclosure controls. A PE-backed company needs someone comfortable with credit agreements, add-on acquisitions and the sale process. The first General Counsel at a growing company usually inherits a pile of outside firm invoices and contracts nobody has tracked.
Many excellent law firm partners want to move in-house. The hardest part of a GC search is finding the ones who can make practical business calls with incomplete information. Companies also go wrong by hiring a specialist, such as an M&A lawyer, into a generalist seat where employment issues and commercial disputes fill most days. Bar admission matters. A GC must be a licensed attorney, and some states require lawyers admitted elsewhere to register as in-house counsel, so that step should be confirmed early for out-of-state candidates.
What sets a strong General Counsel apart
Each of these can be tested in interview or through references before an offer.
- Business judgment
- Gives a clear recommendation with the risk stated plainly. Former CEOs describe advice they could act on the same day.
- Ready for the board
- Has prepared board materials, served as corporate secretary or presented legal risk to directors.
- Controls outside spend
- Explains how they selected firms, set matter budgets and brought legal costs in line with plan.
- Breadth of practice
- Has handled contracts, employment issues and disputes personally, and knows when a matter needs a specialist firm.
How we assess General Counsel candidates
Finalists meet your search committee, usually the CEO and a director, for structured interviews built on the legal matters in your brief. A scenario discussion tests judgment: a whistleblower complaint, a key customer threatening litigation or a disclosure question days before an earnings call. References come from CEOs, board members, outside counsel and former legal team members, on and off list. Bar admission and good standing are checked in every relevant state, along with any in-house counsel registration rules where your headquarters sits.
What shapes General Counsel compensation
General Counsel pay depends on company size, whether the company is public, the volume of litigation and deal work, and how large a legal team the role leads. Packages usually combine base salary with an annual bonus and, at public companies, long-term stock awards in line with other executive officers. PE-backed companies offer management equity, often with much of the value tied to a successful exit. Law firm partners moving in-house may weigh equity, bonus and working hours differently from candidates already in-house. You or your compensation committee agree the package before the search begins.

Hiring a General Counsel: common questions
How long does a General Counsel search take?
Retained executive searches commonly run a few months from brief to accepted offer. For a GC, timing depends on the practice areas you need, bar admission, location and confidentiality. Law firm partners may also need time to hand over clients.
Should we hire from a law firm or from in-house?
In-house candidates bring experience running a legal budget and advising executives. Law firm partners may bring deeper expertise in a key area such as securities or M&A. Your mix of matters and the size of the legal team decide which fits.
Does the General Counsel need to be licensed in our state?
A GC must be a licensed attorney. Several states let lawyers licensed elsewhere work in-house after registering as in-house counsel, and the rules vary by state. Confirm the position for your headquarters state early.
Should the GC also be corporate secretary?
Many companies combine the roles, especially before an IPO and at mid-sized public companies. Large companies sometimes appoint a separate corporate secretary who reports to the GC.
